1. Payment Terms
- Initial Commitment: Clients must pay 75% of the total project cost as a commitment fee before work commences.
- Final Payment: The remaining 25% must be cleared upon the completion of the project walkthrough, but before the website is hosted online.
- Non-Payment Consequence: If the final payment is not made, the website will be taken offline until the payment is completed.
2. Post-Launch Grace Period
- A grace period of two weeks is provided after the website goes live for minor adjustments such as:
- Typographical corrections.
- Image replacements.
- Page alignment.
- Content addition, removal, or replacement.
- Changes beyond this grace period will attract additional charges based on the scope of work.
3. Project Scope and Revisions
- The scope of the project will be clearly defined in the initial agreement, including specific deliverables and timelines.
- Any changes or additions to the original scope will be treated as new tasks and may incur extra charges.
4. Hosting and Maintenance
- Hosting services will only commence after the final payment is received.
- Clients may choose to host the website with Braysons TECH or any third-party hosting provider of their choice.
- If hosted by Braysons TECH, annual hosting and maintenance fees will apply as per the agreed terms.
5. Content and Ownership
- Clients must provide all necessary content (text, images, videos, etc.) for the website within the agreed timeline.
- Ownership of the website and its content will be transferred to the client upon full payment.
6. Intellectual Property Rights
- All software and web designs are the intellectual property of Braysons TECH until full payment is made.
- Braysons TECH reserves the right to showcase completed projects in its portfolio unless explicitly requested otherwise by the client.
7. Client Responsibilities
- Timely communication and feedback from the client are essential to ensure smooth project execution.
- Any delays caused by the client (e.g., late submission of content or approvals) may affect the project timeline.
8. Refund Policy
- Refunds for the commitment fee are not available once work has commenced.
- Refunds for hosting services are only available within the first seven days after hosting starts, provided no substantial resources have been used.
9. Technical Support
- Braysons TECH provides technical support for issues arising from the initial project within the agreed-upon warranty period.
- Additional support or maintenance services will be billed separately after the warranty period.
10. Termination of Services
- Braysons TECH reserves the right to terminate services in cases of non-compliance with these terms, including non-payment.
- In the event of termination, all outstanding fees will remain payable, and access to the website or software may be restricted until payments are settled.
11. Liability Disclaimer
- Braysons TECH will not be held liable for any losses or damages resulting from delays, data breaches, or technical failures caused by third-party service providers or hosting companies.
- Clients are encouraged to back up their data and ensure the security of their login credentials.
12. Data Storage Grace Period
- Clients are given a grace period of three months after project completion to retain their data content in Braysons TECH's storage.
- After this period, data content will be cleared to create space for other clients' utilities.
- No refunds will be provided for cleared data content.
13. Development Timeline
- Braysons TECH will develop the system within two to four weeks upon payment of the commitment fee and submission of the necessary contents.
- The required contents must be well-documented and elaborate to avoid delays in the project timeline.
14. Dispute Resolution
- Any disputes arising from these terms will be resolved amicably through negotiation.
- If unresolved, disputes will be referred to arbitration in accordance with Kenyan law.
15. Updates to Terms and Conditions
- Braysons TECH reserves the right to update these terms and conditions at any time. Clients will be notified of significant changes.
